Terms of Service
The agreement between you and SRQ Computer Services when you buy or use our software.
Terms of Service
1. Who we are
SRQ Computer Services (“we”, “us”) is an I.T. services business based in Arlington, Virginia, United States. You can reach us at info@SRQComputerServices.com or 888-591-1333.
2. What these terms cover
These terms apply when you download, install, activate or use software we publish — including MikeGration Sanitizer for Egnyte — and when you buy a license for it. By using the software you agree to them. If you do not agree, do not install or use it.
Where you buy a license on behalf of a company, you confirm you are authorised to accept these terms for that company.
3. Your license
A license is a non-exclusive, non-transferable right to use the software for your own business or personal purposes, on up to the number of computers your tier allows:
- Single PC — one computer.
- PRO — up to fifteen computers.
- Enterprise / MSP — up to one hundred computers, and you may use it on behalf of your own clients.
The computer count is how many activations may be active at once, not how many machines you may ever install on. You may deactivate a license on one computer and activate it on another as often as you need.
Unless your tier says otherwise, a license is for use within one organisation. Single PC and PRO licenses do not permit use on behalf of third-party clients; the Enterprise / MSP tier does.
4. License term
A license is a one-time purchase and runs for twelve months from the date of its first activation, not from the date of purchase. There is no subscription and nothing renews or charges automatically. When the term ends the software reverts to free mode; your files and reports are unaffected.
5. Free mode
The software may be downloaded and used without a license. In free mode, scanning is unlimited, saved reports and logs list the first one hundred problems with totals for all of them, and the fixing features are unavailable. Free mode is provided as-is and may change.
6. What you may not do
- Share, resell, sublicense, rent or publish your license key.
- Work around, disable or tamper with licensing, activation or any technical limitation.
- Reverse engineer, decompile or disassemble the software, except where law expressly permits it despite this restriction.
- Remove or alter any copyright, trademark or attribution notice.
- Use the software unlawfully, or on data you are not authorised to modify.
7. Your responsibility for your data
This is the most important clause in this document, so it is in plain language.
The software renames files and folders and changes timestamps, in bulk, on storage you point it at. That is what it is for. Those changes are real and they affect live data. Although the software records every change in an undo journal and provides an Undo function, you are responsible for:
- Having a working, tested backup of any share before you fix anything.
- Confirming you are authorised to rename the files and folders concerned.
- Reviewing the planned changes. The software shows you every planned new name before it changes anything, and the choice to proceed is yours.
- Any application, script, shortcut, link or integration that depends on a file or folder keeping its current name.
We strongly recommend running a scan first, reviewing the report, and testing on a copy before fixing a production share.
8. Payment and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders, and will appear as the seller on your invoice and your card or bank statement. Paddle handles all payment processing, billing enquiries, and the collection and remittance of sales tax and VAT where it applies. Prices are shown in US dollars; applicable tax is added at checkout.
We never see or store your card details. Paddle’s own terms and privacy notice govern the payment itself.
9. Refunds
Our refund terms are set out in the Refund Policy, which forms part of these terms.
10. Updates and support
Updates released during your license term are included at no extra cost. We may change, add or remove features; we will not deliberately remove a feature that is central to why the software was bought.
Support is by email at info@SRQComputerServices.com. We aim to reply to every licensed customer within two business days. Priority support, included with the Enterprise / MSP tier, means your enquiries are answered ahead of the general queue, with a target of one business day. These are targets, not contractual guarantees; if you need a guaranteed response time, contact us about a support agreement.
11. Privacy
What the software and this website collect, and who processes it, is described in the Privacy Policy. In short: scanning and fixing happen entirely on your own computer, and your file names, paths, reports and logs are never uploaded to us.
12. Intellectual property
The software is licensed, not sold. We and our licensors retain all rights in it. Your data, your file names and anything the software produces about your own files remain entirely yours.
13. No warranty
The software is provided “as is”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the software will be uninterrupted or error-free, that it will detect every name a given system will reject, or that a migration will succeed because you used it.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, nor for loss of data, loss of profits, loss of business or cost of substitute services, arising out of or relating to the software — even if we were told such damages were possible.
Our total liability for any claim relating to the software is limited to the amount you paid us for the license in the twelve months before the claim arose.
Nothing in these terms limits liability for fraud, for fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
15. Ending the agreement
You may stop using the software at any time. We may terminate a license if these terms are materially breached — for example by sharing a key publicly or circumventing activation. Where a license is terminated for breach, no refund is due. Clauses 12 to 14 survive termination.
16. Changes to these terms
We may update these terms. The “last updated” date above changes when we do. Material changes will not be applied retroactively to a license you have already bought; the terms in force on your purchase date govern that purchase.
17. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law rules. The state and federal courts located in Virginia have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer, this does not deprive you of any protection you have under the mandatory law of your own country of residence.
18. General
If any clause is held unenforceable, the rest stays in force. Our not enforcing a right is not a waiver of it. These terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between us about the software.
